Summary

ABB Ltd is a Swedish–Swiss multinational corporation headquartered in Zürich, Switzerland and is organized under the laws of Switzerland. It operates mainly in robotics, power, heavy electrical equipment, and automation technology areas.

As disclosed in its SEC filings, in April 2005, ABB Ltd. voluntarily disclosed to the DOJ and SEC certain suspect payments in ABB’s network management unit in the United States. Subsequently, ABB made additional voluntary disclosures to the DOJ and the SEC regarding suspect payments made by other ABB subsidiaries in a number of countries in the Middle East, Asia, South America and Europe. These payments were discovered as a result of ABB’s internal audit program and compliance reviews.

In September 2010, ABB reached settlements with the DOJ and the SEC regarding the investigations into these matters and into suspect payments involving certain of ABB’s subsidiaries in the United Nations Oil-for-Food Program.
