Summary
Tata Communications Limited (Tata) is an Indian telecommunications company. Its stock is traded on the National Stock Exchange of India.
In April 2010, Tata disclosed to the DOJ and SEC an internal investigation that it had conducted in cooperation with outside counsel into possible improper payments made by a reseller of one of Tata's subsidiaries, Tata Communications International Pte Ltd. The reseller may have offered and made these payments with the knowlege of Tata's local sales consultant to officials of a government purchaser in an undisclosed Southeast Asian country. Senior management at neither Tata nor its subsidiary had any prior involvement or knowledge of the payments.
Though the internal investion was disclosed to the DOJ and SEC, company filings and reports do not state whether the DOJ or SEC conducted their own investigations.
Tata disclosed that it undertook remedial measures, including terminating its relationship with the sales consultant and with the reseller.
The last disclosure with respect to the activities in the undisclosed Southeast Asian country was in Tata's Annual Report for 2014-2015. The investigation is likely complete.
