Summary

Beam Inc., headquartered in Illinois, was a premium spirits company that made and sold branded distilled spirits products in major markets worldwide.

In its November 8, 2012 10-Q filing, Beam disclosed that as a result of information obtained through its internal compliance procedures and an internal audit of its India business, Beam commenced an internal investigation into whether the business had been conducted in compliance with company policies and applicable law, including the FCPA. Beam notified both the DOJ and the SEC of the internal investigation, and disclosed a willingness to cooperate with any investigation either agency might commence.

The 10-K filed on February 18, 2014 included the last mention of the internal investigation because in April 2014, Beam was acquired by Suntory Holdings Ltd., a publicly-traded Japanese corporation that did not file with the SEC.

On July 2, 2018, the SEC issued a cease and desist order against Beam.

On October 21, 2020, the DOJ filed an enforcement action against Beam.
