Summary

AUB Group Limited was a group of retail & wholesale insurance brokers and underwriting agencies operating in 570 locations globally. Its stock was listed on the Australian Stock Exchange. In September 2022, the company acquired Tysers Insurance Brokers Limited, a insurance brokerage based in the U.K.

In its annual report issued on August 22, 2023, AUB disclosed that the acquisition of Tysers has exposed the company to risk in relation to possible misconduct in Ecuador between 2013 and 2017 by Integro Insurance Brokers Limited (a company within the Tysers group). While the U.K. Serious Fraud Office investigated and decided not to take any action against Integro or Tysers, the DOJ continued to investigate Integro's business dealings in Ecuador. Specifically, the company disclosed that the DOJ investigation related to suspicions of bribery and corruption, and possible associated money laundering.

In a press release issued on November 1, 2023, AUB announced that it had reached an agreement to resolve the DOJ's investigation into Tysers.

On November 20, 2023, the DOJ announced the filing of FCPA-related charges and the entry by Tysers into a deferred prosecution agreement.
