Inotiv, Inc. operates as a contract research organization dedicated to providing nonclinical and analytical drug discovery and development services to the pharmaceutical and medical device industries and selling a range of research-quality animals and diets to the same industries as well as academia and government clients. The company's shares are traded on the NASDAQ.

Inotiv acquired two of the company’s subsidiaries, Orient BioResource Center, Inc. (“OBRC”) and Envigo Global Services, Inc. (“EGSI”), on January 27, 2022 and November 5, 2021, respectively.

On May 23, 2023, Inotiv received a voluntary request from the SEC seeking documents and information for the period December 1, 2017 to the present regarding the company, EGSI, and OBRC’s importation of non-human primates from Asia, including information relating to whether their importation practices complied with the FCPA.

In its 10-Q filed on May 15, 2024, Inotiv disclosed that the SEC had provided the company with a formal order of investigation in March dated January 9, 2024, and that the SEC had further provided supplemental document requests on April 12.

Inotiv said it was fully cooperating with the SEC.

In an 8-K filed on June 4, 2025, Inotiv disclosed that the SEC had contacted the company through its external counsel on June 2 to inform it that the agency had concluded its investigation and did not intend to pursue an enforcement action.
