Summary

Edwards Lifesciences Corporation (Edwards) is a medical device company incorporated in Delaware and headquartered in California. Its common stock is traded on the New York Stock Exchange.

In a 10-Q filed on July 30, 2021, Edwards disclosed that the company had retained external counsel to investigate whether the allocation of certain grants and other payments initiated by certain employees in Japan violated the FCPA.

The company said it had voluntarily notified the DOJ and SEC.

In its 10-Q filed on October 29, 2021, Edwards noted that its investigation had expanded to markets other than Japan but did not specify which.

In its 10-Q filed on November 6, 2024, Edwards disclosed that the SEC had notified the company in September that it was closing its investigation with no further action.

It is unclear if the DOJ opened an independent investigation into the company, and the November 2024 10-Q contained the last mention of the investigation.
