Summary

Cisco Systems, Inc. (Cisco), a Delaware corporation with principal offices in San Jose, California, designs and sells networking hardware, software, and telecommunications equipment. Its common stock is traded on the Nasdaq Stock Market.

In its 10-Q filed on February 16, 2021, Cisco disclosed that it had initiated an investigation into allegations of a self-enrichment scheme involving former employees in China. As part of the scheme, the employees were alleged to have made or directed payments to various third parties, including employees of Chinese state-owned enterprises. Cisco said it had voluntarily disclosed the internal investigation to the DOJ and SEC and that the company intended to provide the results of the investigation to the two agencies.

It is unknown whether the DOJ or SEC ever opened independent investigations into the company. However, in its 10-Q filed on February 22, 2022, Cisco disclosed that both the DOJ and SEC had informed the company that they did not plan to take any further action against the company, indicating that the agencies had at least reviewed the information provided to it by Cisco. The company also said it had closed its own investigation into the matter.
