Summary

Anheuser-Busch InBev SA/NV ("AB InBev"), a Belgian brewer with a global presence, was formed in November 2008 when the American company, Anheuser-Busch Companies Inc. merged with Belgian company, InBev SA/NV. AB InBev’s shares traded on the New York Stock Exchange and were registered with the SEC.

In its March 25, 2013 20-F SEC filing, AB InBev disclosed that the SEC had informed AB InBev of an investigation into the relationships of AB InBev’s affiliates in India, which included a non-consolidated Indian Joint Venture. AB InBev began an internal investigation and cooperated with the SEC’s investigation. AB InBev later disclosed that an investigation by the DOJ had also commenced.

In a press release dated September 28, 2016, the SEC announced that AB InBev had agreed to pay $6 million to settle charges that it violated the FCPA and chilled a whistleblower who reported the misconduct.
