Summary

Gartner, Inc., a Delaware corporation with principal offices in Connecticut, is a research and advisory company and a member of the S&P 500. Its common stock is traded on the New York Stock Exchange.

In its 10-K filed on February 22, 2019, Gartner disclosed that a South African government commission had been established to review a wide range of issues related to the country’s revenue service. The investigation included the procurement and fulfillment of consulting agreements that Gartner entered into with the revenue service through a sales agent from late 2014 through early 2017.The commission recommended that the revenue service explore lawful options to invalidate the agreements with Gartner, and attempt to recover certain payments the revenue service had made to the company. Gartner said it cooperated with the South African commission.

Concurrent to the commission's review, Gartner initiated an internal investigation into the matter and voluntarily disclosed to the SEC and DOJ in November 2018 the South African commission's review. The company said it was cooperating fully with the SEC or DOJ inquiries into this matter.

On May 26, 2023, the SEC issued a cease and desist order against the company for FCPA violations.

The DOJ investigation appears to be ongoing.
