Summary

Johnson & Johnson ("J&J") was a global pharmaceutical, consumer product, and medical device company headquartered in New Brunswick, NJ. Its securities were registered with the Commission, and its common stock traded on the New York Stock Exchange. J&J operated worldwide through more than 250 companies.

In its 10-Q filed on October 31, 2018, J&J disclosed that the Public Prosecution Service in Rio de Janeiro and representatives from the Brazilian antitrust authority CADE had opened investigations into J&J's Brazilian subsidiary, Johnson & Johnson do Brasil Indústria e Comércio de Produtos para Saúde Ltda. ("J&J Brazil"), into allegations of possible anti-competitive behavior and possible improper payments in the medical device industry. As many as 30 other companies were also being investigated.

According to the same filing, the DOJ and SEC made preliminary inquiries about the Brazilian investigations, and J&J Brazil cooperated with those requests.

In its 10-Q filed on July 24, 2020, J&J confirmed that the inquires it had received from the DOJ and SEC were concerning the FCPA.

In its 10-K filed on February 13, 2025, J&J disclosed that the DOJ had informed the company that the agency had closed its investigation with no further action.

The SEC investigation is ongoing.
