Summary

Harsco Corporation (Harsco) provides industrial services and engineered products to the steel, railways, and energy industries. A Delaware corporation with principal offices in Pennsylvania, its shares are traded on the NYSE.

In its 10-Q filed on Novermber 8, 2017, Harsco disclosed that it had recently begun an internal investigation, with the assistance of outside counsel, into allegations of improper payments possibly made by an employee and an agent of a Chinese subsidiary of Harsco's Rail business segment (“Harsco Rail China”). The investigation uncovered that certain payments potentially violated the Foreign Corrupt Practices Act.

Based on information obtained through its internal investigation, Harsco further disclosed that it voluntarily self-reported its initial findings to the SEC and DOJ, which instituted their own reviews of the potential misconduct. The company said it fully cooperated with the agencies in their reviews.

The company's annual report filed on February 21, 2019 contained the last mention of this investigation.
