Summary

AECOM Technology Corporation (AECOM) provides infrastructure and transportation design and construction services. It was incorporated in Delaware and had principal offices in Los Angeles, California.

As disclosed in AECOM’s October 10, 2008 8-K filing, in connection with the company’s operations in Germany, in 2005 and 2006 AECOM engaged in reviews of the internal controls and legal compliance procedures within the finance and accounting departments of Earth Tech Klartechnik GmbH ("ETK"), a German subsidiary.

AECOM’s internal investigations revealed that certain payments made by a subcontractor for a third-party investor partner in a joint venture in which ETK was a party may have been made in violation of the FCPA. Although the recipients of the payments could not be ascertained, AECOM’s management dissolved its relationship with the joint venture and third-party investor to the joint venture, improved its internal controls, and voluntarily reported these potential violations to the SEC and DOJ.

AECOM cooperated with the agencies.

The October 10, 2008 8-K was the only disclosure by AECOM regarding this investigation.
