Summary

Fidelity National Financial, Inc. (FNF) is a provider of title insurance and settlement services to the real estate and mortgage industries. Incorporated in Georgia with principal offices in Florida, its common stock was traded on the New York Stock Exchange.

According to its SEC filings, FNF and its subsidiaries, Fidelity National Information Services, Inc. (FIS) and Fidelity Information Services LLC. (FI), together with certain of its employees, were named on March 6, 2006 as defendants in a civil lawsuit brought by Grace & Digital Information Technology Co., Ltd. (Grace), a Chinese company that formerly acted as a sales agent for Alltel Information Services (AI), the predecessor to FI, in China.

Grace filed a breach of contract claim and also alleged that FNF violated the FCPA in its dealings with a bank customer in China.

Both the SEC and DOJ made inquiries to FNF regarding these allegations.

FNF cooperated with the agencies’ investigations.

As disclosed in FIS's August 8, 2008 10-Q filing, the SEC and DOJ each closed its investigation without taking action against the company or its subsidiaries.
