Summary

InVision Technologies, Inc. ("InVision") was a Delaware corporation headquartered in Newark, California. InVision's common stock was registered with the SEC and was listed on the NASDAQ. InVision was a manufacturer of explosive detection systems used at airports. On December 6, 2004, InVision was acquired by an affiliate of General Electric Co. ("GE").

According to its SEC filings, InVision announced that it met with the DOJ and SEC concerning the company’s voluntary disclosure of an internal investigation of certain possible offers of improper payments by distributors in connection with foreign sales activities.

InVision's internal investigation was conducted in consultation with GE which had agreed to acquire InVision in a cash merger.

InVision’s November 4, 2004, 8-K filing was the company’s last disclosure regarding the internal investigation. GE mentioned the acquisition of InVision in that company’s January 21, 2005, 8-K, but makes no mention of the previous investigation.

On February 14, 2005, the SEC announced that it had settled charges of authorizing improper payments to foreign government officials against InVision.
