Occidental Petroleum Corporation, a Delaware corporation ("Occidental"), explores for, develops, produces and markets crude oil and natural gas and manufactures and markets a variety of basic and specialty chemicals. With principal offices in Los Angeles, California, its common stock is traded on the NYSE.

As disclosed in its SEC filings, in 1997, Occidental was informed that the SEC was conducting a private, formal investigation as a result of certain matters described in a May 12, 1997 Wall Street Journal article concerning Occidental's business dealings with several foreign consultants.

According to the SEC, the purpose of its investigation was to determine whether Occidental may have violated the federal securities laws, including the FCPA and the reporting requirements of the Securities Exchange Act of 1934, as amended.

Occidental cooperated with the SEC and produced documents in response to an SEC subpoena.

Occidental’s March 15, 2000 10-K was the last disclosure of this investigation.
