Summary
United Parcel Service, Inc. (UPS) is one of the world’s largest package delivery company and a global leader in supply chain solutions. Founded in 1907 and incorporated in Delaware with primary offices in Georgia, UPS's stock is traded on the NYSE.
As disclosed in its November 9, 2007 10-Q filing, with the assistance of outside counsel, UPS investigated certain conduct within its Supply Chain Solutions, Inc. subsidiary (UPS SCS) in certain locations outside the United States. UPS’ investigation determined that certain conduct, which commenced prior to the subsidiary's 2001 acquisition of a freight forwarding business that was part of Fritz Companies Inc., may have violated the FCPA.
UPS implemented numerous remediation steps and also informed the SEC and the DOJ in March 2006 of the internal investigation.
There were no disclosures indicating an SEC or DOJ investigation, and the November 9, 2007 filing was the last disclosure of the internal investigation into UPS SCS. The investigation is likely complete.
