Summary

Agilent Technologies, Inc. is an American analytical instrumentation development and manufacturing company that offers its products and services to markets worldwide. Its global headquarters is located in California.

In its September 6, 2013 10-Q, Agilent Technologies, Inc. (Agilent) disclosed that as part of routine internal audit activities, the company had determined that certain employees of Agilent’s subsidiaries in China did not comply with the company’s Standards of Business Conduct and other policies. Based on those findings, Agilent initiated an internal investigation relating to certain sales of their products through third-party intermediaries in China. The internal investigation, conducted with the assistance of outside counsel, included a review of employees’ compliance with the requirements of the U.S. Foreign Corrupt Practices Act and other applicable laws and regulations.

On September 5, 2013, Agilent voluntarily contacted the SEC and DOJ to advise both agencies of this internal investigation.

On September 15, 2014, Agilent received a letter from the SEC’s Division of Enforcement stating that the SEC’s investigation had been completed and that the Division of Enforcement did not intend to recommend any enforcement action against Agilent.

On September 24, 2014, Agilent received a letter from the DOJ stating that the DOJ had closed its inquiry into the matter, citing Agilent’s voluntary disclosure and thorough investigation.
