Summary

Tyson Foods, Inc. was a global multi-industry company engaged in the production of various meat proteins and the second-largest food production company in the Fortune 500. The Company's operations were conducted in four segments: Chicken, Beef, Pork and Prepared Foods. The Company had approximately 117,000 employees at more than 400 facilities and offices in the United States and abroad.

In November 2006, Tyson Foods, Inc. hired outside counsel to institute an internal investigation into suspect payments made by one of its Mexican subsidiaries, which was later revealed to be Tyson de Mexico, to employees of Mexican governmental bodies.

Shortly thereafter, Tyson voluntarily disclosed to the DOJ and SEC about the payments and the company's investigation.

In February 2011, Tyson entered into a Deferred Prosecution Agreement with the DOJ and a consent agreement with the SEC, resolving the investigation.
