Bristol-Myers Squibb Company ("Bristol"), a Delaware corporation based in New York, NY, developed, licensed, manufactured, marketed, distributed, and sold pharmaceutical and over-the-counter products on a worldwide basis. The common stock of Bristol is registered with the SEC and trades on the New York Stock Exchange.

According to filings by Bristol, on October 25, 2004, the SEC notified Bristol that an informal inquiry into the activities of certain of Bristol’s German pharmaceutical subsidiaries and its employees and/or agents, was underway. Bristol believed the SEC’s inquiry encompassed matters under investigation by the Staatsanwaltin prosecutor in Munich, Germany, and that both the SEC’s inquiry and German investigation concerned potential violations of the Foreign Corrupt Practices Act and/or German law.

In October 2006, the SEC informed Bristol that the inquiry had become formal.
