Summary

Millicom International Cellular SA ("Millicom") is a telecommunications and media company focused on emerging markets. It operates across 14 frontier and emerging Latin American and African markets. Its headquarters are in Luxembourg, and though its stock currently trades on the NASDAQ, at the time it traded on the Frankfurt Stock Exchange.

In an October 21, 2015 press release, Millicom announced that it had reported to law enforcement authorities in the United States and Sweden potential improper payments made on behalf of Comunicaciones Celulares, S.A, the company’s joint venture in Guatemala. According to Millicom, a Special Committee of the Board of Directors made the decision to report the misconduct in connection with an independent investigation being overseen by the Special Committee and conducted by Covington & Burling LLP, with the support of Millicom’s management team.

On May 4, 2016, Millicom received notification from the Swedish Public Prosecutor that its preliminary investigation had been discontinued on jurisdictional grounds.

In its quarterly report issued on July 19, 2017, Millicom disclosed that the International Commission Against Impunity in Guatemala had also initiated an investigation into the company's activities in Guatemala.

Millicom has disclosed that it cooperated with law enforcement authorities in the United States, specifically the Department of Justice.

On April 24, 2018, Millicom disclosed in its quarterly earning release that the DOJ had notifed the company the day before that it had concluded its investigation into the potential improper paymets in Guatemala.
