Summary

MTS Systems Corporation (MTS) is a global supplier of test and measurement products that determine the performance of vehicles, aircraft, civil structures, biomedical materials and raw materials. Headquartered in Minnesota, its stock is traded on the NASDAQ.

As disclosed in its March 27, 2012 8-K filing, MTS investigated certain gift, travel, entertainment and other expenses incurred in connection with some of its operations in the Asia-Pacific region. This investigation focused on possible violations of company policy, corresponding internal control issues and possible violations of applicable law, including the FCPA. As later disclosed, MTS also investigated certain business practices in China. The investigation had a similar focus to the prior Asia-Pacific investigation. Under both circumstances, MTS undertook remedial actions that included changes to internal control procedures and the removal of certain employees. MTS voluntarily disclosed these investigations to both the SEC and the DOJ.

Both the DOJ and the SEC notified MTS that they had closed their investigations in August 2017.
