Summary

Newmont Mining Corporation (Newmont), based in Colorado, United States and operating in numerous countries, is the world's largest gold mining company. Its stock is traded on the NYSE.

As disclosed in its April 20, 2016 10-Q filing, Newmont had been conducting an internal investigation, with the assistance of outside counsel, relating to certain business activities of the company and its affiliates and contractors in countries outside the U.S. The investigation includes a review of compliance with the requirements of the FCPA and other applicable laws and regulations. Newmont has been working with the SEC and DOJ with respect to the investigation.

In March 2016, Newmont entered into a one-year agreement with the SEC tolling the statute of limitations relating to the investigation, and in April 2016, entered into a similar agreement with the DOJ. Both of the initial tolling agreements were effective through October 29, 2016.

In September 2016, Newmont agreed to extend its tolling agreement with the DOJ through April 2017, and agreed to a similar extension with the SEC in October 2016.

In its April 24, 2017 10-Q filing, the company disclosed that the SEC had issued the company a declination letter in late February 2017.

In its July 25, 2017 10-Q filing, the company disclosed that the DOJ had issued a declination letter in June 2017. The DOJ's letter cited the company's cooperation in the investigation.
