Summary

Eli Lilly and Company (Eli) is an Indiana corporation that develops, manufactures, and sells pharmaceutical products. Founded in 1876, its products are sold in approximately 125 countries and its stock trades on the NYSE.

According to its February 19, 2015 10-K filing, Eli received notice in August 2003 that the staff of the SEC was conducting an investigation into the compliance by Eli’s Polish subsidiary with the FCPA. The SEC then issued subpoenas requesting production of documents related to the investigation.

Both the DOJ and SEC requested additional information related to certain activities of Eli affiliates in a number of other countries, along with the SEC issuing subpoenas related to the activities in those countries.

As disclosed in Eli’s February 19, 2015 10-K filing, in December 2012 Eli announced that it had reached an agreement with the SEC to settle that investigation. The settlement related to certain activities of Eli subsidiaries in Brazil, China, Poland and Russia from 1994 through 2009. Subsequently, in January 2015, the DOJ advised Eli that the DOJ had closed its investigation into the matter.
