Summary

Accenture plc is an Irish-based multinational company that specializes in management consulting, technology services and outsourcing. A Fortune Global 500 company, it operates in more than 52 countries and its stock is traded on the New York Stock Exchange.

In July 2003, Accenture Ltd.'s (Accenture) management became aware of an incident of possible non-compliance with the FCPA, and/or with its internal controls in connection with part of its operations in the Middle East. Accenture voluntarily disclosed this incident to US authorities "promptly" after it was discovered. The SEC indicated it would begin an informal investigation, while the DOJ indicated it would conduct a review. During the time period of the investigation, Accenture Ltd., incorporated in Bermuda, became a wholly owned subsidiary of Accenture Plc, incorporated in Ireland. The last filing in which there was a disclosure of the aforementioned incident appears to be Accenture plc's June 25, 2010 10-Q.
