Summary

Brookfield Asset Management Inc. (Brookfield) is one of the world’s largest alternative asset management company. It focuses on direct control investments in real estate, renewable power, infrastructure, credit and private equity. Its stock is traded on the NYSE.

In its April 2, 2013 40-F, Brookfield disclosed a civil action brought by a public prosecutor in Brazil against a Brookfield subsidiary relating to allegations that the subsidiary made payments to third parties in Brazil, and those payments were used to pay municipal officials to obtain permits and other benefits. From a complaint related to this action, the SEC opened an investigation into the matter.

Brookfield, in a later filing, disclosed that the DOJ was also investigating the matter, with each agency seeking information, and Brookfield cooperating. Brookfield engaged outside counsel to investigate the allegations.

In June 2015, the SEC informed Brookfield in writing that the investigation was concluded and that the agency did not intend to recommend any enforcement action.

The last mention of the DOJ investigation was made in a 6-K on November 13, 2015, so it is assumed that investigation has also concluded.
